These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Synqd, Inc. ("Synqd," "we," "us," or "our") governing your access to and use of the Synqd platform, including our website at synqdsocial.app, mobile and progressive web applications, and all related services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using Synqd, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Synqd is a music identity platform that computes user-specific Music DNA profiles from listening habits and quiz responses, assigns sonic archetypes, calculates compatibility between users based on complementary Music DNA dimensions, and facilitates social connections. The Service includes free and paid subscription tiers (Synqd Plus). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

3. Account Registration

To access the full features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorized use of your account. We are not liable for losses arising from unauthorized access to your account resulting from your failure to maintain credential security.

4. User Conduct

You agree not to:

  • Impersonate any person or entity, or misrepresent your identity or affiliation.
  • Create fake or misleading profiles, including using music data that does not represent your actual listening habits.
  • Harass, abuse, threaten, stalk, or intimidate other users.
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to other users' accounts, systems, or data.
  • Interfere with or disrupt the integrity or performance of the Service, including introducing malware or exploiting vulnerabilities.
  • Use automated scripts, bots, or scraping tools to access the Service without our prior written consent.
  • Reverse-engineer, decompile, or disassemble any component of the Service.
  • Transmit any content that is defamatory, obscene, hateful, or otherwise objectionable.
  • Violate the intellectual property rights of Synqd or any third party.

We reserve the right to suspend or terminate accounts that violate these conduct standards, at our sole discretion, without prior notice or liability.

5. Music and Profile Data

You represent that any music streaming account you connect to Synqd is your own legitimate account and that you have the right to authorize our access to its data. Compatibility scores, archetype classifications, and Music DNA dimensions are provided for discovery, entertainment, and social connection purposes. They are not guarantees of relationship outcomes, psychological assessments, or professional advice. Synqd makes no warranty regarding the accuracy or completeness of computed profiles or compatibility results.

6. User Content

You retain ownership of any content you submit to the Service, including profile text, photos, and communications. By submitting content, you grant Synqd a non-exclusive, worldwide, royalty-free, sub-licensable license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and improving the Service, including displaying your profile and content to other users as intended. You represent that you have all rights necessary to grant this license. You are solely responsible for the content you submit and its compliance with applicable law.

7. Intellectual Property

The Synqd name, logo, brand identity, frequency visualizations, Music DNA system, archetype classification framework, and all associated designs, graphics, and software are the exclusive property of Synqd, Inc. and are protected by applicable intellectual property laws. No license or right is granted to you to use any Synqd trademarks, service marks, or proprietary systems except as expressly provided in these Terms. User-generated content remains the property of the respective users, subject to the license granted in Section 6.

8. Subscription and Payments

8.1 Free and Paid Tiers

Synqd offers a free tier and a paid subscription tier ("Synqd Plus"). Free tier features are provided at no cost. Synqd Plus requires a recurring subscription fee, billed in advance on a monthly basis at the then-current rate displayed at the time of upgrade.

8.2 Payment Processing

Payments are processed by Stripe, Inc. By subscribing, you authorize Stripe to charge the applicable fees to your designated payment method. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

8.3 Cancellation and Refunds

You may cancel your Synqd Plus subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will retain Plus features until then. We do not provide prorated refunds for partial billing periods. Upon cancellation, your account reverts to the free tier.

8.4 Price Changes

We may change subscription pricing with at least 30 days' advance notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect. Continuing to use Synqd Plus after a price change constitutes acceptance of the new pricing.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. COMPATIBILITY SCORES, ARCHETYPE CLASSIFICATIONS, AND MUSIC DNA PROFILES ARE PROVIDED FOR ENTERTAINMENT AND DISCOVERY PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL, PSYCHOLOGICAL, OR RELATIONSHIP ADVICE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYNQD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSSES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO SYNQD IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Synqd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any rights of another party, or any content you submit or transmit through the Service.

12. Termination

You may delete your account at any time through account settings. We reserve the right to suspend or terminate your account at our discretion, with or without cause, including but not limited to violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including Sections 5, 7, 9, 10, 11, and 13 — shall remain in effect.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which Synqd is organized, without regard to conflict-of-law principles. You agree to resolve any disputes arising from these Terms or the Service through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access. You waive any right to participate in class action lawsuits or class-wide arbitration.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Changes become effective upon posting. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Synqd regarding the Service, and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter herein.
